Terms of Service

By accessing or using Syntha (syntha.music), you agree to these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the platform. These Terms form a binding agreement between you and VaultSpark Studios LLC (“VaultSpark,” “we,” “us,” “our”).

Syntha is a premium, rights-aware music platform that accepts and distributes music in five origin types: human, AI-assisted (Artificial Intelligence-assisted), synthetic, transformed, and hybrid. Every track in the catalog has been reviewed for provenance, AI (Artificial Intelligence) disclosure, and rights before being made available.

The catalog is curated — Syntha does not offer open self-upload. Artists must apply and be approved before their work is accepted. We reserve the right to reject, remove, or delist any content at our sole discretion.

You may browse the Syntha catalog and use the platform in accordance with these Terms. Access to certain features (downloads, credits, artist dashboard) may require authentication when those features are enabled.

You must be at least 13 years of age to use Syntha. You must be at least 18 years of age (or have verifiable parental consent) to make purchases or access commerce features.

You are responsible for maintaining the security of your account credentials and for all activity conducted through your account.

Streaming

Streams are provided for personal, non-commercial listening only. You may not record, redistribute, or publicly perform streamed content without authorization from the rights holder.

Downloads

If you purchase a download, you receive a personal, non-exclusive, non-transferable license to use the downloaded file for personal listening only. You may not sell, sublicense, redistribute, or use downloaded tracks commercially without separate licensing from the rights holder.

Support and credits

Purchases, tips, and credit allocations are final unless a refund is required by applicable law or granted at our sole discretion. Credits are non-transferable and have no cash value. Contact legal@syntha.music within 14 days of purchase to request a refund.

If you are accepted as an artist on Syntha, your submission and participation are also governed by the Artist & Content Policy, incorporated into these Terms by reference.

Key artist obligations

• You represent and warrant that you own or have all rights necessary to submit content to Syntha.
• You must accurately disclose the AI (Artificial Intelligence) origin type of every track.
• You agree to cooperate with moderation, rights verification, and takedown requests.
• You may not submit content that infringes third-party rights, violates applicable law, or violates the Artist & Content Policy.

Revenue

Revenue from support, downloads, and credits is subject to the payout terms in the Artist & Content Policy. We reserve the right to withhold payouts pending fraud review, dispute resolution, or rights verification.

Payment processing is handled by Stripe, Inc. By making a purchase, you agree to Stripe’s terms of service. VaultSpark Studios LLC is the merchant of record. All prices are listed in US dollars (USD) unless otherwise indicated. Taxes may apply depending on your jurisdiction.

You may not:

• Submit or distribute content that infringes the intellectual property rights of others.
• Circumvent, disable, or interfere with any security, access control, or rights-management feature of the platform.
• Use automated tools to scrape, crawl, or bulk-download catalog content without written authorization.
• Attempt to gain unauthorized access to any account, system, or data.
• Use the platform to distribute malware, phishing content, or harmful code.
• Harass, threaten, or abuse other users or artists.
• Make false or misleading rights, ownership, or disclosure claims when submitting content.

Violations may result in immediate account termination and referral to applicable law enforcement authorities.

All platform software, design, branding, and non-artist content on Syntha is owned by or licensed to VaultSpark Studios LLC. The Syntha name, mark, and related branding are proprietary. Nothing in these Terms grants you any right to use VaultSpark or Syntha branding without prior written authorization.

Artists retain ownership of their content subject to the rights and licenses granted in the Artist & Content Policy.

We respect intellectual property rights. If you believe content on Syntha infringes your copyright, please follow the process described in our DMCA Policy. Repeat infringers will have their accounts terminated in accordance with that policy.

THE SYNTHA PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VAULTSPARK STUDIOS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the platform will be uninterrupted, error-free, or free from viruses or other harmful components.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VAULTSPARK STUDIOS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

In no event shall our total liability to you exceed the greater of (a) the amount you paid to us in the twelve months preceding the claim, or (b) one hundred US dollars (USD 100).

These Terms are governed by the laws of the United States. Any dispute arising from these Terms or your use of Syntha shall first be addressed by contacting us at legal@syntha.music to seek informal resolution. If informal resolution fails, disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

We may update these Terms at any time. We will provide notice of material changes by updating the effective date and, where appropriate, by providing a prominent notice on the platform. Continued use of Syntha after the effective date of any change constitutes your acceptance of the revised Terms.
